Systematic Review Process

PHASE 1: TRIAGE (5 minutes)
  - Identify contract type (SaaS, services, licensing, employment, NDA)

Key Clauses: Deep Analysis

Limitation of Liability

STANDARD MARKET TERM:
  "Each party's aggregate liability shall not exceed the total fees
   paid or payable in the 12 months preceding the claim."

COMMON CARVE-OUTS FROM CAP (typically unlimited):
